1. Contracting Entities & Merchant of Record
Arilator India Pvt Ltd (incorporated in India, GSTIN: 36ABGCA4968F1ZG, State Code 36 — Telangana) acts as the authorized Indian reseller and statutory Merchant of Record (MoR) for software subscriptions, cloud services, and usage-metered API products purchased by customers in India ("Customers") on this platform. Arilator Inc. (incorporated in the State of Delaware, USA) operates the global partner network and executes upstream commercial distribution schedules with international software providers ("Vendors").
In these Buyer Terms of Sale & Service ("Terms"), "Arilator," "we," and "us" refer to Arilator India Pvt Ltd for all domestic Indian sales, INR payment collection, GST tax invoicing, and buyer support, and to Arilator Inc. with respect to upstream Vendor commercial agreements. By creating an account or placing an order on Arilator, you agree to be bound by these Terms.
2. Role as Authorized Reseller & Seller of Record
When a Customer purchases a software subscription or prepaid usage package through Arilator:
- Domestic INR Sale: Arilator India Pvt Ltd sells the right to access the software subscription or metered API service as the local Seller of Record in India. The Customer contracts with and pays Arilator India Pvt Ltd directly in Indian Rupees (INR) via UPI or domestic bank transfer (NEFT/RTGS).
- Bank & UPI Statement Descriptor: Payments are collected into the regulated domestic account of ARILATOR INDIA PVT LTD via the designated Arilator India Pvt Ltd UPI handle or NEFT/RTGS collection account displayed at checkout.
- Compliant Domestic GST Tax Invoice: Upon payment verification, Arilator India Pvt Ltd issues a statutory GST Tax Invoice under GSTIN
36ABGCA4968F1ZG, classified under SAC 998314 (Information Technology Software & Cloud SaaS Services) or SAC 997331 (Licensing services for the right to use computer software), with applicable 18% GST split into CGST (9%) + SGST (9%) for intra-state Telangana supplies or IGST (18%) for inter-state supplies based on the Customer's verified Place of Supply. - Entitlement Provisioning: Following payment verification, Arilator provisions the Customer's software entitlement via the Vendor's configured fulfillment mechanism — including single-use license/promo codes, automated direct API account creation, Arilator API Gateway keys, or assisted partner portal activation.
3. Pricing, Commercial Schedule, Prepaid Usage Ledgers & GST
- Locked INR Order Quotes: All checkout quotes are calculated in INR and locked for the duration of the stated order quote window. The quoted price reflects the Vendor's authorized India pricing and applicable deal-band or consumer discount, Arilator's reseller commission as configured in the commercial schedule, and applicable 18% Indian GST.
- Fixed Subscriptions vs. Prepaid Usage-Metered Packages: Products may be offered as fixed-term subscriptions (monthly or annual seat/tier plans) or as usage-metered / Pay-As-You-Go packages backed by a prepaid INR credit wallet.
- Prepaid INR Credit Ledger & Metering: For usage-metered and Pay-As-You-Go API products, the net pre-GST order amount is credited in INR to the Customer's product wallet upon payment confirmation. As the Customer invokes the Vendor's service through the Arilator API Gateway, usage is metered in real time according to the locked INR unit rates of the purchased package and atomically deducted from the available INR wallet balance. Requests that exceed the remaining prepaid balance are rejected until the Customer completes a top-up order.
4. Account Registration, GSTIN Verification & Customer Obligations
- Organization vs. Individual Accounts: Customers may register as an Organization (B2B) or as an Individual. Organization registrations (or conversions from an Individual account to an Organization account) require a valid 15-character Indian GSTIN. Individual accounts may optionally provide a GSTIN.
- Real-Time GSTIN & Name Verification: When a GSTIN is supplied, Arilator verifies it in real time against official Indian GST taxpayer records through authorized compliance verification services to confirm active taxpayer status and verify that the registered Legal Name or Trade Name matches the Customer's organization name. Verified B2B orders receive a GST Tax Invoice bearing the Customer's GSTIN, Legal Name, and State Code for GSTR-2B Input Tax Credit (ITC) reconciliation, subject to applicable GST law.
- Finality of Invoice Billing Details: Because statutory GST tax invoice fields lock upon issuance, Customers are responsible for ensuring their account profile, Legal Name, and GSTIN are accurate prior to placing an order.
- API Key Security & Vendor EULA: Customers are responsible for safeguarding any provisioned license keys or API Gateway credentials and for complying with the Vendor's applicable End-User License Agreement (EULA) or Terms of Service governing use of the underlying software. Arilator is the authorized commercial reseller and Merchant of Record, not the developer or operator of the Vendor's software application.
5. Vendor Responsibilities
Vendors remain solely responsible for the functionality, uptime, model outputs, data processing within the software application, intellectual property warranties, and technical support of the underlying software product. The commercial terms governing Vendor onboarding and USD settlement are set forth in the Vendor Terms of Service.
6. Refunds, Credit Notes, Cancellations & Dispute Resolution
Because Arilator India Pvt Ltd is the Merchant of Record, all billing inquiries, failed-activation claims, and refund requests must be submitted directly to Arilator at refunds@arilator.com referencing your Order ID:
- Unfulfilled or Failed Provisioning: If INR payment is collected by Arilator India Pvt Ltd but software access or prepaid wallet activation cannot be provisioned within the applicable SLA, Arilator India Pvt Ltd will issue a 100% INR refund to the original payment source and issue a formal GST Credit Note under Section 34 of the CGST Act, 2017.
- Subscription Cancellations: Post-activation cancellation and refund requests for fixed subscriptions are evaluated in accordance with the Vendor's published cancellation policy and commercial schedule, administered in INR by Arilator India Pvt Ltd.
- Prepaid Usage Credits: Once a usage-metered package is provisioned and API consumption has commenced against the prepaid INR wallet, consumed usage is non-refundable. Unconsumed prepaid balances due to an upstream Vendor service discontinuation or verified provisioning defect are refunded pro-rata in INR accompanied by a corresponding GST Credit Note.
- Grievance Redressal SLA: All billing and payment grievances are acknowledged within 24 business hours and targeted for resolution within 5 business days.
7. Term, Suspension & Termination
Customers may discontinue future purchases at any time. Arilator reserves the right to suspend or revoke provisioned entitlements or API Gateway keys in the event of payment reversal, fraudulent UTR submission, unauthorized credential sharing, or material breach of these Terms or the Vendor's EULA. Statutory tax invoicing, audit retention, and payment obligations for completed transactions survive termination.
8. Disclaimers & Limitation of Liability
Arilator's procurement, invoicing, and API gateway platform is provided "as is" and "as available." Except for our express refund obligation for unprovisioned orders under Section 6, Arilator makes no warranties regarding the uptime, accuracy, or fitness for a particular purpose of a Vendor's third-party software product. To the maximum extent permitted by applicable law, Arilator's aggregate liability for any claim arising out of or relating to an order is limited to the total INR amount actually paid by the Customer to Arilator India Pvt Ltd for the specific order giving rise to the claim.
9. Governing Law & Jurisdiction
All domestic Customer purchases, INR payments, GST tax invoices, and buyer disputes with Arilator India Pvt Ltd (GSTIN: 36ABGCA4968F1ZG) are governed by and construed in accordance with the laws of India, subject to the exclusive jurisdiction of the competent courts in Hyderabad, Telangana, India. Matters involving Arilator Inc. are governed by the laws of the State of Delaware, USA.
10. Modifications to These Terms
Arilator may update these Terms periodically to reflect regulatory, tax, or operational changes. The version of the Terms in effect at the time an order is created governs that specific order.
